1 . Key Definitions

Capitalized terms not otherwise defined in these Terms will have the following meaning:

• “External Account” means any digital asset account from which you may load funds into your Black Bit Rock account, and to which you may transfer funds from your Black Bit Rock account.
• “Financial Account” refers to any financial account that you beneficially own, maintained by a third party outside of our services, including but not limited to third-party payment service accounts or accounts held by financial institutions.
• “Funds” Processing Your Request: means digital assets.
• “Black Bit Rock Account” refers to a user account accessible via our services where funds may be stored on your behalf.
• “Digital Asset Account” refers to any digital asset address or account owned or operated by you that is maintained outside of our services, and is not owned, controlled, or operated by Black Bit Rock.

2 . Eligibility

• Black Bit Rock may not make the services available in all markets and jurisdictions and may restrict or prohibit access to the services from certain jurisdictions ("Restricted Locations").
• You further represent and warrant that you: (a) are at least 18 years old; (b) have not previously been suspended or removed from using our services; (c) have full power and authority to enter into this agreement, and doing so will not violate any other agreement to which you are a party; (d) are using our platform in your own name and for your own benefit; (e) are not located in, under the jurisdiction of, or a national or resident of any Restricted Locations; and (f) will not use our services if applicable laws in your country prohibit you from doing so in accordance with these terms.
• Additionally, by agreeing to these terms, you certify that you are participating in blockchain-based networks as part of your professional activities.

3 . Black Bit Rock Exchange Account Information and Security

• Number of Accounts: Black Bit Rock reserves the right to limit the number of accounts you may hold or create at its discretion.

• To engage in trades via our Services, you must create a Black Bit Rock Exchange Account and provide any requested information. By creating your account, you agree to:

  (a) Create a strong password that is unique and not used for any other websites or services. (b) Provide accurate and truthful information. (c) Maintain and promptly update your account information. (d) Ensure the security of your account by protecting your password and restricting access. (e) Notify us immediately if you discover or suspect any security breaches related to your account. (f) Take responsibility for all activities that occur under your account and accept all risks associated with any authorized or unauthorized access, to the fullest extent permitted by law.

5. Application of Terms

This Section 5 applies to: (i) all trades completed via the Services, (ii) your purchase and/or sale of Digital Assets directly from Black Bit Rock via the Services, and (iii) any transaction in which you load funds into your Black Bit Rock Account from an External Account or transfer funds from your Black Bit Rock Account to an External Account.

• Conditions and Restrictions: We may, at any time and at our sole discretion, refuse any trade submitted via the Services, impose limits on the trade amount, or apply any other conditions or restrictions on your use of the Services without prior notice. For example, we may limit the number of open orders you can establish or restrict trades from certain locations.g so in accordance with these terms.
• Accuracy of Information: You must provide all required information when creating your Black Bit Rock Account or when prompted by any screens within the Services. You represent and warrant that any information you provide is accurate and complete.
• Cancellations: You may cancel an order initiated via the Services only if such cancellation occurs before Black Bit Rock executes the transaction. Once your order has been executed, you cannot change, withdraw, or cancel your authorization for Black Bit Rock to complete that transaction. If an order has been partially filled, you may cancel the unfilled remainder, except for market trades. We reserve the right to refuse any cancellation request related to a market order once submitted. All trades are irreversible once initiated. While we may, at our discretion, reverse a trade under extraordinary circumstances, customers do not have the right to request a reversal.
• Insufficient Funds: If you do not have sufficient funds in your Black Bit Rock Account to complete an order, we may cancel the entire order or fulfill a partial order using the available funds, minus any fees owed to Black Bit Rock for executing the trade.
• Taxes: It is your responsibility to determine any taxes applicable to your trades completed via the Services and to report and remit the correct amount to the appropriate tax authority. You agree that Black Bit Rock is not responsible for determining tax obligations or for collecting, reporting, withholding, or remitting any taxes arising from your trades.

6. Black Bit Rock Account Funds

• Funding Your Black Bit Rock Account: To complete an order or trade via the Services (as described in Section 7), you must first load funds into your Black Bit Rock Account using one of the approved External Accounts identified through the Services. You may need to verify your control over the External Account used to load funds. Please note that you may incur fees from the External Account when funding your Black Bit Rock Account. Black Bit Rock is not responsible for any fees associated with External Accounts or for their management and security. You are solely responsible for your use of any External Account and must comply with all applicable terms and conditions. The timing of a load transaction may vary based on the performance of third parties managing the External Account, and Black Bit Rock makes no guarantees regarding how long it may take to load funds.
• Pushing Funds to an External Account: Provided your Black Bit Rock Account balance exceeds any minimum requirements needed to cover your open positions, you may transfer funds to an External Account, up to the total amount available above those minimum requirements. This will be done minus any fees charged by Black Bit Rock for such transactions, as detailed in the Fee Schedule at the time of your request.
• Load/Push Authorization: By requesting that we load funds into your Black Bit Rock Account from your External Account or push funds to your External Account from your Black Bit Rock Account, you authorize Black Bit Rock to execute the transaction via the Services.
• Rejected Transactions: In some instances, your External Account may reject the transfer of funds or may be unavailable. You agree not to hold Black Bit Rock liable for any damages arising from such rejected transactions.

7. Risk Disclosure

• Trading Risks: You acknowledge and agree that accessing and using the Services is at your own risk. The potential for loss when trading Digital Asset pairs and Digital Asset and Legal Tender pairs can be significant. Therefore, you should carefully assess whether such trading is suitable for you based on your circumstances and financial resources. Please be aware of the following points: All Digital Asset positions carry inherent risks, and a "spread" position may not necessarily be less risky than a direct "long" or "short" position. The points mentioned apply to all digital asset pair trading and digital asset and legal tender pair trading. This brief statement cannot disclose all the risks and aspects associated with these trades.
• Internet Transmission Risks: You acknowledge that there are risks associated with using an Internet-based trading system, including, but not limited to, hardware, software, and Internet connection failures. You agree that Black Bit Rock shall not be responsible for any communication failures, disruptions, errors, distortions, or delays you may encounter while trading via the Services, regardless of the cause.

8. Fees

• Amount of Fees: You agree to pay the fees for trades completed via our Services (“Fees”) as outlined in the Fees and Limits, which may be updated periodically. Changes to the Fee Schedule will take effect on the date specified in the revised Fee Schedule posted in the Services and will apply to any trades conducted after that effective date.
• Third-Party Fees: In addition to the Fees, your External Account may impose its own fees related to your use of the designated External Account through the Services. These fees will not be reflected on the transaction screens that show applicable Fees. You are solely responsible for any fees charged by your External Account provider.
• Payment of Fees: You authorize us, or our designated payment processor, to charge or deduct the applicable Fees from your Black Bit Rock Account Funds for any trades you complete via the Services.

9. Acceptable Use

When accessing or using the Services, you agree not to violate any laws, contracts, intellectual property rights, or other third-party rights, and you are solely responsible for your conduct while using our Services. Without limiting the generality of the foregoing, you agree that you will not:

• Use our Services in any manner that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying our Services, or that could damage, disable, overburden, or impair the functioning of our Services in any way.
• Use our Services to pay for, support, or engage in any illegal gambling activities, fraud, money laundering, terrorist activities, or any other illegal activities.
• Use any robot, spider, crawler, scraper, or other automated means or interface not provided by us to access our Services or extract data.
• Use or attempt to use another user’s account without authorization.
• Attempt to circumvent any content filtering techniques we employ or access any service or area of our Services for which you are not authorized.
• Develop any third-party applications that interact with our Services without our prior written consent.
• Provide false, inaccurate, or misleading information.
• Encourage or induce any third party to engage in any of the activities prohibited under this Section.

We will own exclusive rights, including all intellectual property rights, to any feedback, suggestions, ideas, or other information or materials regarding Black Bit Rock or our Services that you provide, whether by email, through our Services, or otherwise (“Feedback”). You waive any rights you may have to the Feedback, including any copyrights.

Please do not send us Feedback if you expect to be compensated or wish to retain rights to it; while your idea may be valuable, we may have already had a similar idea and prefer to avoid disputes.
